This page sets out the limits of what we do and what our published information means. It applies to anyone who uses our website or our product application at https://app.blugency.co, reads our blog, uses one of our templates, or buys a service from us.
1. What this page is
This Legal Disclaimer forms part of our Terms of Service. It explains the boundary of our role: what we prepare, what we publish, and what we cannot promise. It adds to your agreement with us rather than replacing any of it.
2. Definitions
Blugency, we, us and our mean Blugency LLC, a New Mexico limited liability company.
Site means our website at https://blugency.co, including the blog.
Application means our product application at https://app.blugency.co. This page covers the Application as well as the Site, and there is no separate disclaimer for it.
Services means the services we sell across our five service lines: Business Formation, Business Essentials, Compliance & Changes, Tax & Accounting, and Studio, as described in our Terms of Service.
Content means what we publish on the Site or send you outside a paid Service.
3. We are not a law firm
Blugency is not a law firm and may not perform services performed by an attorney. At no time do we review your answers for legal sufficiency, draw legal conclusions, provide legal advice, opinions or recommendations about your legal rights, remedies, defenses, options, selection of forms, or strategies, or apply the law to the facts of your particular situation.
Using the Site or the Services does not create an attorney-client relationship with Blugency. Because Blugency is not your lawyer, what you tell us is not protected by attorney-client privilege, and it may be obtainable by someone else in a legal proceeding. Confidentiality under our Terms of Service is not the same as privilege.
Some of what we sell is delivered by licensed professionals engaged by Blugency as contractors. Trademark applications and other intellectual property filings are prepared and filed by attorneys admitted to practice before the United States Patent and Trademark Office. Tax filings are prepared and signed by Certified Public Accountants, and ITIN applications are handled by an IRS Certifying Acceptance Agent. Blugency engages those professionals and reviews their completed work so that what reaches you meets the standard of delivery we promised. None of that makes Blugency a law firm or a CPA firm, none of it creates an attorney-client relationship with Blugency, and none of it makes what you send Blugency privileged. Section 4 covers the tax side and section 12 covers the trademark side.
We prepare and file documents at your direction. Every decision about your legal position stays yours.
4. We are not a CPA firm
Blugency is not a licensed certified public accounting firm in any state, and publishing an article, a guide or a checklist is not accounting or tax advice to you.
Where a Service is delivered by a professional who holds their own license, we tell you who they are, and their duties to you under that license are their own. Where we refer you to an independent professional instead, your engagement is with them, and a referral is not a recommendation.
Tax filings are prepared and signed by Certified Public Accountants engaged by Blugency as contractors. They hold the credential the work requires and they exercise their own professional judgment on the substance of your return. Blugency engages them, coordinates your engagement, gathers your documents, keeps the work moving, and reviews what they produce so that the standard of delivery is right. That review is the company checking its own delivery. It is not a second professional opinion on your tax position, because Blugency is not a licensed CPA firm and cannot give one.
Preparing a return is not representing you. Only attorneys, certified public accountants and enrolled agents have unlimited rights to represent taxpayers before the Internal Revenue Service.
Our ITIN Application service is document preparation and filing support, and the application is handled by an IRS Certifying Acceptance Agent. That agent's authority comes from its own agreement with the Internal Revenue Service rather than from Blugency, and the Internal Revenue Service alone decides whether to issue an ITIN and when. We do not provide immigration advice or immigration services, and we do not act for you before any immigration authority.
We describe the professionals who do this work by their credential rather than by name. We do not publish the name of the Certifying Acceptance Agent, of the CPAs who sign returns, or of the attorneys who file applications. What matters to you is that the person signing your return holds the credential to sign it, and a page that named individuals would be out of date the day anything changed. If you want to know who is working on your matter, ask us at support@blugency.co and we will tell you.
Federal law limits what a tax return preparer may do with the information you give us for a return, and our Terms of Service set out the rule we follow in full. Two points belong on this page as well. This page is not a consent under that rule, and neither is accepting our Terms of Service. And you are never required to sign such a consent in order to buy tax return preparation from us. Any consent we ask for comes on its own form, on its own, away from checkout and away from any payment screen.
5. No guarantee of any government or banking outcome
We do not guarantee any outcome from any government agency or any bank. That includes a state office accepting a formation, amendment or annual report; the Internal Revenue Service issuing an EIN or ITIN, accepting a return or resolving a notice; the United States Patent and Trademark Office registering a mark or accepting a response to an office action; and a bank opening an account.
We are not a government agency. We are not affiliated with, endorsed by, or acting on behalf of any government agency, including the Internal Revenue Service, the United States Patent and Trademark Office, the Financial Crimes Enforcement Network and any Secretary of State. We are also not a bank. Where a Service helps you prepare a banking application, the bank decides whether to open an account and on what terms.
Processing times are set by the agency or the bank, change without notice, and are outside our control. Any timeframe we mention is an estimate, never a promise. A search or availability report is research, not a clearance opinion. Government fees are set by the agency and are handled under our Purchasing Terms.
Federal beneficial ownership reporting rules have changed and may change again. Our Terms of Service describe where those rules stood on the date shown at the top of that page. That description is general information about the state of the rule. It is not advice about what your entity has to file, and you should check the current position before you rely on it.
6. Templates and self-help documents
The forms and checklists we offer are general documents. They are not drafted for your situation, and we do not review them against your facts or tell you which one to use. They are not a substitute for the advice or services of an attorney. Have one reviewed by a professional licensed in your jurisdiction before you sign or rely on it.
7. Content on the Site and the blog
Content is general information. It is not advice, it is not tailored to you, and reading it does not make you our client. Content speaks only as of the date shown with it. Laws, agency practice, fees and forms change, and we do not go back through older material to keep it current. Check the current position with a professional licensed to advise you before you act on Content.
So that you can see how old something is rather than having to guess, every article and guide we publish shows the date it was published, and where we have gone back over a piece since then, it also shows the date it was last reviewed. If a piece shows only a publication date, nobody has reviewed it since that date, and you should treat it accordingly.
8. Third-party links and services
The Site links to other websites and embeds tools run by other companies, such as our meeting booking widget. We do not control them, and a link is not an endorsement. Their own terms and privacy practices govern your use of them, and our Privacy Policy explains which providers we use and what they receive from us.
9. Testimonials and results
We publish customer testimonials on our homepage. Read them for what they are: each one describes one customer's experience. It is not typical, and it is not a promise that your result will be the same. Figures about our own history describe work we have already done, not what will happen for you. We do not condition any incentive on a positive review, we do not write reviews for ourselves, and where a review comes from someone connected to us, we say so next to it rather than leaving you to find out.
10. How this page works with our Terms of Service
This page is not a blanket waiver of liability. Our Terms of Service contain the warranty disclaimers, the limitation of liability and the exceptions to it, and they govern if anything here appears to go further. Nothing here excludes liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, for willful misconduct, or for anything else that cannot lawfully be excluded. State-specific terms in our Terms of Service, including those for North Carolina consumers, apply on top of this page.
11. Where our Services are directed
Our Services are directed to the formation of United States entities and to related federal and state filings, delivered online to customers in the United States and to founders based elsewhere. We do not form companies outside the United States, and we do not advise on the law or tax rules of any other country. Making the Site available where you live does not mean we are licensed there, and your own local legal and tax obligations remain yours.
Blugency operates from the United States. We have no office, branch, establishment, subsidiary or appointed representative in the United Kingdom or the European Union.
12. Trademark filings and the USPTO
Blugency is a company, not a law firm, and Blugency does not itself represent applicants before the United States Patent and Trademark Office. Under 37 C.F.R. section 11.14, people who are not attorneys are not recognized to practice before the Office in trademark matters. That is why the trademark applications and intellectual property filings we sell are prepared and filed by attorneys admitted to practice before the Office, engaged by Blugency as contractors. Four things follow from that.
You are the applicant. What is filed is what you direct, and every decision about the mark, the goods and services it covers, and the class it is filed in stays yours.
You must personally apply your own signature to every declaration and to every document that requires the applicant's signature. We will not sign for you and we will not enter a signature on your behalf. A signature applied improperly can invalidate an application or a registration.
If you are domiciled outside the United States, USPTO rules require you to be represented by a United States licensed attorney in trademark matters. That requirement is met by the attorney who prepares and files your application, or by counsel of your own choosing if you prefer. Blugency itself cannot act as your representative.
The attorney exercises their own professional judgment on your matter. Blugency engages that attorney and reviews the completed work for the standard of delivery, and Blugency does not substitute its own view for the attorney's on anything that requires an admitted attorney, because Blugency is not a law firm and may not. No attorney-client relationship is formed with Blugency. Any attorney-client relationship that arises runs between you and that attorney, and privilege, where it exists, attaches to your communications with the attorney rather than to what you send Blugency.
As with the CPAs in section 4, we describe these attorneys by their credential rather than by name. We do not publish the names of the attorneys who file our customers' applications. If you want to know who is handling yours, ask us at support@blugency.co.
Section 5 explains why a search or availability report is research rather than a clearance opinion, and why we cannot promise any USPTO outcome. Our Terms of Service set out the full contractual terms for this Service.
13. Registered agent service
Registered agent service is a statutory role, not a legal service. Where we act as your registered agent, we accept service of process and receive correspondence from the state for you, and we pass it to the contact details you keep current with us. We do not review, interpret, summarize or advise you on anything we receive, and we do not calendar your deadlines. If a lawsuit, a state notice or a tax notice arrives, what to do about it is a question for your own lawyer or licensed adviser.
Registered agent service is provided through a partner in every state where we offer it, working under our name and to our instructions. We do not publish the partner's name, for the same reason we do not publish the names of the other professionals we work with: it is a commercial arrangement that can change, and what matters to you is that an agent is on file and that we answer to you for the service.
If the service ends, whether because you cancel it or because we resign, we give 30 days notice before our resignation takes effect, and that notice goes to you by email and by mail to the address we have on file for you. It tells you how to appoint a replacement agent. Making the state filing that appoints the new agent is yours to do, because only the entity can appoint its own agent, and it has to be done before our resignation takes effect.
Keeping a registered agent and a current address on file with the state is your legal obligation. Our Terms of Service and our Purchasing Terms explain what happens when this Service ends and what you have to do next.
14. Design and marketing work
Design and marketing work is creative and commercial work. It is not a legal check. When we design a brand, a logo, a name treatment, a brand guide or a website, we are not confirming that a name, mark, tagline, image or domain is available or free of anyone else's rights. Speak to a trademark attorney before you commit to a name or a mark.
We do not guarantee any commercial result. Search rankings, traffic, impressions, engagement, followers, leads and sales depend on factors we do not control, including the platforms themselves, and nothing we publish about our work is a promise of what you will get.
We will not create, buy, incentivize or suppress reviews, testimonials, followers or engagement, and we will refuse an instruction to do so. If you ask us to publish a review, a testimonial or an endorsement for your business, you are responsible for it being genuine and for telling us about any connection between the person giving it and your business.
Nothing we deliver is a certification that you or your business comply with any law or standard, and none of it is an audit. We do not hold a SOC 2 report and we are not certified to ISO 27001. Where we use software tools, including AI-assisted tools, our Terms of Service explain what that means for the rights you receive in what we deliver.
15. Changes to this page
We may update this page when what we do changes or when the law changes. The version number and the date at the top show which version you are reading. Because this page forms part of our Terms of Service, those Terms explain how we give notice of a change and how a change applies to you.
