LLC vs. C-Corp vs. Nonprofit: Which U.S. Business Structure Is Right for You?
Most comparisons treat S-Corp as a third entity type. It is not. Here is the two-level decision that actually determines your structure.
Do business under your brand name, filed with the right office in your state.

A DBA, short for doing business as, is a second name for your company. Use it for a shop, a brand or a website while your legal name stays the same. Banks ask to see the filing before you take payments under that name.
A DBA puts a new name on the company you already have. A separate company is a second business, with its own filings and costs.

Four reasons to make it official.

Most states require it before you use a name that is not your legal one.
Open in a new state or county and keep the same name.
Run several stores or product lines under one company.

No. A DBA lets your company do business under the name, but it does not give you the rights to it. Another company can file the same name in another state or county. To protect your brand name, you need a trademark.
A DBA adds a name to the company you already have, so it is faster and costs less. Choose a new LLC when the new business should stand on its own, with its own tax ID and its debts kept apart from your current company.
Yes, in most states. LLCs, corporations, nonprofits and limited partnerships can all use one. Rules and fees can differ by company type, so pick yours on the price card to see your exact total.
For companies, five states require one. These are California, Florida, Georgia, Minnesota and Nebraska. In Nebraska, filing is optional, but if you file, the notice is required. We place the notice for you, and its price is already in the total on the price card, so there is nothing extra to pay. New York does not require a newspaper notice for a DBA.
We file in every state that has a DBA filing, with the state, county or town office your company needs. Kansas and New Mexico have no DBA filing, and South Carolina has one only for limited partnerships.
It depends on the state. Some last 2 or 3 years, many last 4 or 5 years, some last 10 years, and some never expire. Minnesota asks for a free renewal every year. We remind you before yours is due.
Yes. Most banks let your company open an account that shows your DBA name, or add the name to an account you already have. They usually ask for your DBA certificate, your company documents and your EIN.
Yes. Your company can file as many DBAs as it needs, for example one for each shop, brand or website. Each name usually needs its own filing and fee.
Kansas and New Mexico have no DBA filing, and South Carolina has none except for limited partnerships. In some states, like Arizona and Wyoming, filing is optional. Many companies still file there, because banks often ask to see it.
Maybe not. Some companies send letters that look like they come from the state and charge far more than the real fee. Florida, for example, warns about letters asking $125 for a renewal. Send any letter to us and we will tell you if it is real.
