Why Your Brand Name Needs Trademark Protection Before You Launch
Your LLC filing does not stop a competitor from using your name. Here is what a federal trademark gives you, and why filing before launch wins.
We file your company's dissolution with its state and can handle its last IRS steps too.
Your dissolution
State fee at cost
$99
Pick your state to see your total.

A dissolution is the filing that closes your company with the state where it was formed. Some states call it a cancellation or a termination, and several want every tax paid first. Until it is filed, your company still exists and can keep owing yearly taxes and fees.
State Filing handles the dissolution with your state. Full Close adds the IRS steps, EIN letter included.

Four rules that still apply after a company stops doing business.
Many states charge a yearly tax or fee until the company is dissolved, even with no income.
Yearly reports stay due while the company exists, and a missed one adds a late fee.
A state closes an unpaid company only after penalties have built up, so waiting costs more.
A company the state closes can still owe every fee and tax that built up before.
Your dissolution
The Blugency Promise, three commitments with every dissolution.
If the state rejects your filing, we correct it and refile right away at no cost, including any new state fee.
Once the state confirms, we stop every Blugency renewal for the company, registered agent included.
If the state's filing fee is higher than your card showed, we pay the difference.
It often costs more than dissolving. A California LLC owes the $800 yearly tax until its cancellation, whether or not it does business. Delaware says a corporation's taxes keep adding up until a closing document is filed.
In several states, yes. Delaware, for example, accepts a dissolution only once all its taxes to that date are paid, and Wyoming's form asks you to confirm the company is in good standing. Our status check shows you any amount due before anything is filed.
Yes. The IRS requires a final return for the year your business closes. A single-member LLC owned from abroad still files a last Form 5472, even with no income, and missing it can cost $25,000. Full Close includes the final return for every company type.
No. The IRS never cancels an EIN, but it can deactivate the account once your returns are filed and all taxes owed are paid. The number stays with your company permanently. With Full Close, we send that request for you after your final return.
A tax clearance is proof from the state's tax office that your company's taxes are paid. Pennsylvania, Rhode Island, Tennessee and Texas ask most companies for one, and Arizona, New Jersey, New Mexico, New York, Ohio, Washington and West Virginia ask corporations. Michigan asks within 60 days after the filing, and New Hampshire before any money goes to the owners. Your price card shows the rule for your state and company type.
State Filing is $99. Full Close starts at $149 and depends on your company type, because it includes your final IRS return. Both are plus your state's own fees, including its processing fee where it charges one, and choosing your state on the price card shows your exact total. Where a state collects a tax to close, your card includes it, and taxes left unpaid from earlier years are extra.
We file as soon as your taxes and any clearance are in order. After that, each state works at its own pace, and New Jersey says its tax clearance may take several months. Your dashboard shows each step as it happens.
Your owners do, under your state's law and your company's own agreement. In Delaware, for example, members owning more than 2/3 of an LLC's profits can approve it, unless the LLC agreement says otherwise. A Delaware corporation's board votes first, then its stockholders. A corporation also reports that decision to the IRS on Form 966 within 30 days.
Not automatically. Each state where your company registered to do business needs its own withdrawal, often with taxes paid first. Texas, for example, asks for a tax clearance before it ends a registration. We quote each extra state before we file.
In some states, yes. A Delaware corporation can revoke its dissolution within 3 years, and a Florida LLC within 120 days for Florida's own fee, including its processing fee where it charges one. Texas lets a company come back after a voluntary termination, with no time limit.
