LLC vs. C-Corp vs. Nonprofit: Which U.S. Business Structure Is Right for You?
Most comparisons treat S-Corp as a third entity type. It is not. Here is the two-level decision that actually determines your structure.
We report a new name, address or person in charge to the IRS, and ask it to deactivate your EIN when the business ends.
Your EIN request
Tracked mail included
$49

An EIN update tells the IRS about a change in your company, such as a new name, a new address or a new responsible party, the person in control. A new responsible party must be reported within 60 days. When a company closes, a letter asks the IRS to deactivate its EIN, though the number itself is never canceled.
Update is for a company that is still in business. Close is for one that has stopped doing business.

Each one means a form or a letter to the IRS.
A new person takes control of the company and its money.
Your mailing address changes, or your business moves to a new place.
Your company changes the legal name on its state records.
The company stops operating, or no longer needs its EIN.
Tell us what changed. We prepare, mail and track the paperwork.
Update my EINYour request
The Blugency Promise, three commitments with every EIN update or closure.
If your change needs a new EIN instead of an update, we refund your $49.
Once we receive your signed paperwork, we mail it within 2 business days.
If the IRS sends our work back for a correction, we fix it and send it again at no cost.
No. According to the IRS, a company does not need a new EIN when it changes its name or location, or when it chooses to be taxed as an S corporation. A new EIN is needed only in some cases, for example when you end an LLC and form a new corporation in its place.
No. The IRS cannot cancel an EIN, but it can deactivate it. Once an EIN is assigned, it stays that company's permanent federal tax ID. Our Close option sends the letter that asks for this.
Report it within 60 days of the change, on Form 8822-B. The responsible party is the individual who owns or controls your company and manages its money and assets, and it must be a person, not another company. An owner, officer, general partner or LLC member manager can sign the form.
Not on Form 8822-B, which covers only addresses and the responsible party. Depending on how your company is taxed, the new name goes on its tax return or in a letter signed by an owner, partner or officer. When we send a letter, we also ask the IRS to confirm the new name in writing.
For Form 8822-B, the IRS says it generally takes 4 to 6 weeks to process the change. The IRS publishes no time for name change or closing letters, so no one can promise you a date for those.
No. These forms and letters cost nothing at the IRS. Our fee, $49 to update or $59 to close, pays for the work from drafting to mailing, and one update covers every change you report at the same time.
Not yet. The IRS asks for every missing return to be filed and any tax owed to be paid before it deactivates an EIN. If a return is missing, we let you know which one and give you a price to file it.
No. On its checklist for closing a business, the IRS treats this as a separate step, after your final return is filed and your taxes are paid. Dissolving with the state does not do it for you.
Your original EIN notice, the CP575, works if you still have it. That paper notice cannot be sent again, so the IRS offers Letter 147C instead, which you request by calling its Business and Specialty Tax Line. Some companies can also download a digital CP575 from their IRS Business Tax Account, and the IRS says banks accept it.
By mail to the IRS, with tracking. The IRS lists two addresses for this letter, so we confirm the current one before yours goes out.
